Terms of Service

Independent Platform Disclaimer. OwneDeals is an independent marketplace operated by PegaSky LLC. We are not affiliated with, endorsed by, or sponsored by Tesla, Inc. By using this service you agree to these Terms of Service in full.

1. Acceptance of Terms

By accessing or using OwneDeals.com (the "Service"), you agree to be legally bound by these Terms of Use ("Terms") and our Privacy Policy. If you do not agree to all of these Terms, do not use the Service. You must be at least 18 years of age to use this Service. By using the Service, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into a binding agreement.

2. Description of Service

OwneDeals is an online marketplace platform that connects private sellers and dealer partners with prospective buyers of pre-owned Tesla vehicles. The Service may include:

User-submitted private and dealer vehicle listings
Publicly available CPO and third-party dealer inventory data — including from national retailers such as CarMax and Carvana, and the tesla.com/used feed — surfaced for research and pricing context
AI/ML-powered deal scoring, price history analysis, and vehicle summaries
Free tools, including a Tesla VIN decoder and an ML-based battery health & range estimator
AI-assisted VIN and console photo verification
In-app messaging, comments, and notifications
Saved car lists and personalized search

OwneDeals is NOT a car dealer, broker, lender, escrow provider, or payment processor for vehicle transactions. We do not take title to any vehicle, and we are not a party to any transaction between a buyer and seller. All vehicle transactions are solely between buyers and sellers.

3. User Accounts

Account creation is handled through Clerk, Inc. ("Clerk"), our third-party authentication provider. If you create an account, you agree to provide accurate, current, and complete information; maintain the security and confidentiality of your account credentials; promptly notify us of any unauthorized use of your account; and accept responsibility for all activities that occur under your account. We reserve the right to suspend or permanently terminate any account that violates these Terms, engages in fraudulent activity, or poses a risk to other users or the integrity of the marketplace.

4. Seller Obligations and Representations

By submitting a listing, you represent, warrant, and agree that:

You are the legal owner of the vehicle, or are expressly authorized to list it for sale on behalf of the legal owner
The vehicle is free of undisclosed liens, encumbrances, or legal claims that would prevent transfer of clear title
The vehicle is not stolen, and the VIN has not been altered or tampered with
All information in the listing (price, mileage, condition, history, features) is accurate and not misleading
You will promptly update or remove your listing if the vehicle is sold, price changes, or any material information changes
You will comply with all applicable federal, state, and local laws governing the private or dealer sale of motor vehicles
Dealer partners are responsible for maintaining all applicable dealer licenses and regulatory compliance in their operating jurisdictions

Submitting a listing constitutes your express certification of the above representations. Violation of these representations may result in immediate listing removal, account termination, and may expose you to civil or criminal liability.

5. Fees, Payments, and Refund Policy

Certain features of the Service require payment, including private listing fees and dealer subscription plans. All fees are stated in U.S. dollars and are processed through Stripe, Inc. ("Stripe"), our third-party payment processor.

5.1 Private Listing Fees. Private sellers pay a one-time listing fee to activate and publish a single vehicle listing for a defined period (currently 90 days). The fee amount is displayed at checkout.

5.2 Dealer Subscription Plans. Dealer partners may subscribe to monthly recurring plans (Starter, Growth, or Elite tiers). Subscriptions automatically renew each month until canceled. You may cancel at any time through your billing portal; cancellation takes effect at the end of the current billing period. Downgrading or canceling a subscription does not automatically remove existing active listings.

5.3 No Refunds. All fees paid to OwneDeals are non-refundable, including listing fees for listings that are removed for policy violations, and subscription fees for partial billing periods. If you believe a charge was made in error, contact us at [email protected] within 7 days of the charge.

5.4 Listing Removal. OwneDeals may remove or deactivate any listing at any time, with or without notice, if we determine it violates these Terms or poses a risk to users. No refund will be issued for removed listings.

6. User Content License

By submitting any content to the Service — including listing descriptions, vehicle photographs, comments, and messages ("User Content") — you grant PegaSky LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, store, display, reproduce, and distribute that User Content solely for the purpose of operating and improving the Service. You retain ownership of your User Content. You represent that you own or have the rights to submit all User Content, and that it does not violate any third-party rights or applicable law.

7. Prohibited Activities

You agree not to:

Post false, misleading, or fraudulent listings or information
List vehicles you do not own or are not authorized to sell
Use the Service for any illegal purpose, including unlicensed dealer activity where a license is required
Harass, threaten, or abuse other users through messaging or comments
Use automated tools, bots, or scrapers to access or collect data from the Service
Attempt to reverse engineer, hack, or disrupt the Service or its infrastructure
Circumvent or manipulate the platform's fee structure or payment systems
Impersonate any person or entity, or misrepresent your affiliation
Solicit users to conduct transactions outside the platform to avoid fees
Transmit spam, malware, or any other harmful or disruptive content

8. AI Features and Data Accuracy

The Service uses artificial intelligence and machine learning — including Google's Gemini AI (for console photo verification) and OpenAI (as an optional fallback for generating listing descriptions) — to provide features such as VIN analysis, deal scoring ("Good Deal" labels), and automated listing summaries. AI-generated outputs are predictions or estimates, not guarantees, and may be inaccurate. "Good Deal" labels are based on historical market data and ML models and are not financial advice. AI-generated listing summaries may not fully reflect all vehicle details and should be reviewed by the seller for accuracy before publishing. Console photo verification is an automated process and does not constitute a professional vehicle inspection or title search. We do not guarantee the accuracy, completeness, or reliability of any AI-generated content. Always independently verify all material information before making a purchase or sale decision.

9. Marketplace Transactions & Safety

OwneDeals facilitates connections between buyers and sellers but is not a party to any vehicle transaction. You are solely responsible for evaluating listings, conducting due diligence, and completing transactions safely. We strongly recommend reviewing our Marketplace Safety Guide before meeting a buyer or seller. Private party vehicle sales are typically completed "as-is." Applicable consumer protection laws (including state lemon laws) generally do not apply to private party sales. Always obtain a pre-purchase inspection, vehicle history report, and verify title before completing any transaction.

10. Intellectual Property

All content, features, and functionality of the Service — including the OwneDeals name, logo, design, software, and original text — are owned by PegaSky LLC and are protected by applicable intellectual property laws. You may not copy, reproduce, or create derivative works of any part of the Service without our express written permission. Tesla®, Model S®, Model 3®, Model X®, Model Y®, and Cybertruck® are registered trademarks of Tesla, Inc. Their use on this platform is for identification and reference purposes only and does not imply any affiliation with or endorsement by Tesla, Inc.

11. DMCA / Copyright Infringement

If you believe any content on the Service infringes your copyright, please send a written notice to [email protected] with: (1) identification of the copyrighted work; (2) identification of the infringing material and its location on the Service; (3) your contact information; (4) a statement of good faith belief; and (5) a statement of accuracy under penalty of perjury. We will respond to valid notices in accordance with the Digital Millennium Copyright Act (DMCA).

12. Disclaimers and Limitation of Liability

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PEGASKY LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, INCLUDING DAMAGES ARISING FROM VEHICLE TRANSACTIONS, RELIANCE ON LISTING INFORMATION, OR AI-GENERATED CONTENT. IN NO EVENT SHALL PEGASKY LLC'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE GREATER OF (A) THE TOTAL FEES YOU PAID TO OWNEDEALS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100.00).

13. Indemnification

You agree to indemnify, defend, and hold harmless PegaSky LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction for claims involving intellectual property infringement or unauthorized use of the Service. Class Action Waiver: You agree that any dispute will be resolved on an individual basis only, and not as a class, collective, or representative action.

15. Termination

We may suspend or terminate your access to the Service at any time, for any reason, with or without notice, including for violation of these Terms. Upon termination, all licenses granted under these Terms will immediately cease. You may stop using the Service at any time. Sections that by their nature should survive termination will survive, including Sections 6, 10, 12, 13, and 14.

16. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date at the top of this page and, where appropriate, notify registered users through the platform or by email. For paid subscribers, material changes to billing or subscription terms will be communicated at least 14 days in advance. Continued use of the Service after the effective date of any changes constitutes acceptance of the revised Terms.

17. Third-Party Links and Services

The Service may contain links to third-party websites, including Tesla.com, Stripe, and Clerk. We are not responsible for the content, privacy practices, or terms of any third-party services. Your use of third-party services is subject to their respective terms and policies.

18. Miscellaneous

These Terms constitute the entire agreement between you and PegaSky LLC regarding your use of the Service and supersede any prior agreements. If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision does not constitute a waiver of that right or provision.
